NGX Crypto Wallet Terms of Service

These Terms of Service ("Terms") govern your use of the NGX Crypto Wallet application and related services (collectively, the "Service" or "NGX CW"), provided by NGX Crypto Wallet  ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. The Service: Non-Custodial Wallet

1.1 Nature of the Service

NGX CW provides a non-custodial software wallet interface that allows you to manage your own digital assets and interact with decentralized blockchain networks.

1.2 Non-Custody and Private Keys

NGX CW is a non-custodial wallet. This means:

• You, the User, are solely responsible for the security of your private keys, seed phrases (recovery phrases), and passwords.

• We do not store, control, or have access to your private keys or seed phrases.

• We cannot initiate transactions on your behalf, recover your private keys, restore your seed phrase, or access your digital assets if you lose or forget them.

• We cannot reverse, cancel, or refund any transactions. All transactions are final and immutable once broadcasted and confirmed on the relevant blockchain network.

1.3 Blockchain Network Interaction

The Service acts only as an interface to the underlying blockchain networks. We have no control over the blockchain networks, their protocols, or the transactions that occur on them.

2. User Eligibility and Responsibility

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms under Pakistani law or the laws of your jurisdiction.

2.2 User Responsibility

You agree that you are solely responsible for:

• Maintaining the confidentiality and security of your device, wallet credentials, and seed phrase.

• Ensuring the accuracy of any transaction details (e.g., recipient address, amount, network fees) before initiating a transaction.

• Complying with all applicable laws, including all laws in Pakistan related to the use, trade, or holding of virtual assets/cryptocurrencies. You acknowledge that the regulatory environment for digital assets in Pakistan is evolving and you assume all risks associated with non-compliance.

• Understanding the inherent risks of digital assets, including volatility, security breaches, and potential regulatory changes.

3. Risks and Disclaimer of Warranties

3.1 Assumption of Risk

You accept and acknowledge that you are fully aware of and assume all risks associated with the use of the Service and digital assets, including, but not limited to:

• The risk of loss of your private keys or seed phrase.

• The risk of incorrect or irreversible transactions.

• The risk of technological failure, including software bugs, wallet vulnerabilities, and network issues.

• The risk of attacks on the Service or the underlying blockchain network.

• The risk of adverse regulatory action or a change in the legal status of cryptocurrency in Pakistan or other relevant jurisdictions.

3.2 NO WARRANTY

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NGX CW, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE.

3. ANY LOSS OF DIGITAL ASSETS DUE TO YOUR FAILURE TO SECURE YOUR PRIVATE KEYS, SEED PHRASE, OR DEVICE.

4. ANY LOSS DUE TO INCORRECT TRANSACTION DETAILS SUBMITTED BY YOU.

5. Fees and Costs

5.1 Network Fees (Gas Fees)

You are solely responsible for paying all transaction fees required by the underlying blockchain network (often called "gas" fees or "miner" fees). These fees are collected entirely by the network's validators/miners and are not paid to NGX CW.

5.2 Service Fees

We reserve the right to charge fees for enhanced or future features of the Service. Any such fees will be disclosed to you in advance and are optional.

6. Indemnification

You agree to indemnify and hold harmless NGX CW and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms, (b) your violation of any law, rule, or regulation in Pakistan or any other relevant jurisdiction, or (c) your misuse of the Service, including any negligent or willful failure to protect your private keys.

7. Governing Law and Dispute Resolution

7.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions.

7.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the competent courts in Pakistan.

8. Third-Party Services

The Service may incorporate or allow you to connect to third-party services (e.g., decentralized exchanges, staking platforms, external buying services). You acknowledge that your use of these Third-Party Services is governed by their own respective terms and privacy policies, and NGX CW is not responsible for any risk or loss arising from your use of them.

9. Changes to the Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on the Service and updating the "Last Updated" date. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.
